ShellOrchestra is distributed commercially by Develastic, s. r. o. This license is a source-available license. It is not an Open Source Initiative approved open-source license.

## 1. Definitions

**Software** means the ShellOrchestra source code, object code, documentation, scripts, assets, and related files made available in this repository.

**Licensor** means Mykola Rudenko, the owner of the Software intellectual property.

**Distributor** means Develastic, s. r. o., acting under a separate license from Licensor.

**You** means the individual or legal entity exercising permissions under this license.

**Internal Use** means use by You, Your employees, contractors, devices, and systems for Your own operations, including commercial, business, production, educational, personal, administrative, infrastructure, and security-review purposes. Internal Use includes managing infrastructure that You are authorized to administer, provided that the Software itself is not offered to third parties as a hosted, managed, redistributed, resold, or white-labeled product or service.

**Edition Limits** means technical, contractual, or published limits for a ShellOrchestra edition, including Community Edition server-profile limits and feature restrictions.

## 2. Grant for Community Edition

Subject to this license, Licensor grants You a non-exclusive, non-transferable, revocable, royalty-free license to:

1. read, inspect, and study the Software source code;
2. run the Community Edition for Internal Use, including Internal Use in commercial and production business environments;
3. copy the Software as needed for Internal Use, backup, security review, and private deployment;
4. make private modifications for Your own Internal Use; and
5. share vulnerability reports, patches, or suggestions with Licensor or Distributor.

Community Edition may be used by businesses. Business use alone does not require a Pro license. A Pro license is required only when You need Pro features, higher edition limits, support terms, or other commercial rights granted separately by Distributor.

## 3. Restrictions

Unless You have a separate written agreement with Distributor, You must not:

1. sell, resell, rent, lease, sublicense, distribute, publish, mirror, or provide copies of the Software or modified Software to third parties;
2. create or maintain a public fork or public derivative distribution of the Software;
3. offer the Software, modified Software, or substantially similar functionality as a hosted, managed, SaaS, MSP, white-label, appliance, or service-provider offering to third parties;
4. remove, obscure, or alter copyright, license, trademark, attribution, or source-available notices;
5. bypass, disable, remove, or misrepresent Edition Limits, license checks, feature gates, server-profile limits, or commercial-feature restrictions;
6. use source-code access to recreate Pro-only features outside the applicable edition license;
7. use the Software in violation of applicable law; or
8. transfer this license to another person or entity.

The restrictions in this section apply even if the Software's technical controls are intentionally light or nominal. If the code can technically be changed to bypass a limit, that does not grant permission to do so.

## 4. Pro and Commercial Editions

Pro, Business, Enterprise, support, and higher-limit edition rights are granted only by the applicable separate written license or commercial agreement from Distributor.

Redistribution, resale, hosted-service, MSP, OEM, white-label, public-fork, and similar third-party offering rights are not included in standard Community or Pro editions unless that separate written agreement expressly grants them.

## 5. Contributions and Feedback

Do not submit code or materials unless You have the right to do so. By submitting patches, issue text, suggestions, vulnerability reports, or other feedback, You grant Licensor and Distributor a perpetual, worldwide, irrevocable, royalty-free license to use, copy, modify, distribute, commercialize, and incorporate that feedback into the Software without obligation to You.

## 6. Termination

This license terminates automatically if You breach it. Upon termination, You must stop using the Software and destroy copies under Your control, except where mandatory law requires retention. Sections concerning restrictions, ownership, warranty disclaimer, liability limitation, and governing law survive termination.

## 7. Ownership

Licensor retains all ownership, copyright, trade-secret, know-how, trademark, and other intellectual-property rights in the Software. No rights are granted except those expressly stated in this license.

## 8. No Warranty

The Software is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

## 9. Limitation of Liability

To the maximum extent permitted by applicable law, Licensor and Distributor are not liable for any indirect, incidental, special, consequential, exemplary, punitive, or business-interruption damages, or for loss of profits, revenue, data, goodwill, or use, arising from or related to the Software or this license.

## 10. Governing Law

This license is intended to be governed by the laws of the Slovak Republic, excluding conflict-of-law rules, unless mandatory law requires otherwise.

## 11. Questions and Commercial Licensing

For Pro, Business, Enterprise, OEM, MSP, redistribution, hosted-service, or other commercial licensing, contact Develastic, s. r. o.
